Financial Modeling & Transaction Advisor (M&A/Private Equity Focus)
Summary
We are seeking an experienced Corporate Finance Advisor to augment a client team supporting a complex M&A transaction. This role requires immediate availability for an initial phase of intensive financial analysis, leveraging deep expertise in mergers & acquisitions and private equity transaction structuring.
The successful candidate will provide essential advice by performing robust financial analysis and valuation work to guide strategic decision-making throughout the deal lifecycle.
Role Overview
The Advisor will focus on the core financial analysis required to evaluate a potential transaction, including assessing various valuation and structuring scenarios. This is a project-based role with an engagement length highly dependent on the progression of the transaction.
Key Responsibilities
- Financial Analysis & Valuation: Conduct comprehensive financial analysis for the transaction, focusing on complex valuation methodologies.
- DCF and LBO Analysis: Develop detailed Discounted Cash Flow (DCF) models and sophisticated Leveraged Buyout (LBO) models to assess investment feasibility, financing impacts, and potential returns.
- Merger Analysis: Run merger analysis, including synergy modeling and accretion/dilution impacts, to support M&A processes.
- Break-up Play Assessment: Analyze potential strategic separation or "break-up" scenarios to determine maximum inherent value.
- Actionable Insights: Translate complex financial findings and scenarios into clear, actionable insights and recommendations for senior stakeholders.
- Due Diligence Support: Provide financial modeling and analysis support during the due diligence process.
Essential Skills and Experience
- Strong M&A Background: Demonstrated experience in mergers & acquisitions advisory or corporate finance.
- Financial Modelling Expertise: Proven expertise in financial modelling within investment banking or private equity.
- Private Equity Experience: Relevant experience advising on transactions for private equity firms or within a PE environment.
- Valuation Mastery: Expert ability to perform sophisticated valuation work (DCF, LBO modeling, break-up scenario analysis).
- Analytical Skills: Strong analytical and problem-solving skills, with meticulous attention to detail and accuracy.
- Stakeholder Communication: Excellent communication skills for presenting findings and advising senior stakeholders.
Project Details
Initial Duration: The initial phase will require approximately one to two days of focused analysis.
Project Scope: Subject to the progression of the transaction, the engagement could extend for a few weeks, a few months, or potentially more.
Compensation: The budget and compensation will be highly competitive, determined primarily as a function of how the transaction progresses.
